These Terms of Service (“Terms”) govern your use of paxlogo.com and your requests for quotations, products, or services from Pax Logo. (“PaxLogo,” “we,” “us,” or “our”). By using this website or submitting a request, you agree to these Terms.

Additional terms may appear in a written quotation, order acknowledgment, proof, invoice, credit agreement, or other transaction-specific document. If those terms conflict with these website Terms, the transaction-specific written terms will control for that transaction.

 

1. Website Purpose

 

This website provides information about customizable promotional products and allows users to request project-specific quotations. Submitting a quotation request does not create an order or require Pax Logo to accept a project.

Website prices, specifications, availability, production times, setup charges, price codes, and shipping estimates may change. They are not a binding offer unless Pax Logo confirms them in a written quotation or order acknowledgment.

 

2. Quotations and Order Acceptance

 

A quotation is based on the information available when it is issued, including product, quantity, decoration method, artwork, packaging, production schedule, destination, and shipping method.

An order is accepted only after Pax Logo confirms acceptance in writing and all applicable requirements have been completed. These requirements may include final product specifications, acceptable artwork, proof approval, payment or approved credit terms, and shipping instructions.

We may correct typographical, pricing, specification, or calculation errors before accepting an order. A quotation is valid only for the period stated in the quotation.

 

3. Pricing, Charges, and Taxes

 

Product prices generally do not include setup charges, artwork charges, samples, special packaging, shipping, duties, taxes, or other project-specific costs unless the written quotation expressly states otherwise.

Price codes and quantity-break pricing shown on the website are provided for quotation guidance. Final pricing is determined by the written quotation and may change if the quantity, artwork, decoration, packaging, destination, schedule, or other requirements change.

The customer is responsible for applicable taxes and agreed charges unless a valid exemption applies and acceptable documentation is provided.

 

4. Artwork, Logos, and Intellectual Property

 

The customer represents that it owns or has permission to use and reproduce all names, logos, trademarks, artwork, photographs, designs, text, and other materials supplied to Pax Logo.

The customer is responsible for obtaining any required authorization from the applicable rights owner. Pax Logo may refuse or stop a project that we reasonably believe may violate law, third-party rights, platform requirements, or our compliance policies.

Providing artwork to Pax Logo does not transfer ownership of that artwork to us. We may use customer-provided materials only as reasonably necessary to evaluate, quote, produce, and fulfill the requested project, subject to our Privacy Policy and transaction-specific terms.

 

5. Proofs and Customer Approval

 

The customer is responsible for reviewing all proofs and specifications, including product, spelling, colors, dimensions, quantity, imprint method, imprint location, and delivery information.

Production may begin after the customer provides written approval and completes any other stated order requirements. Changes requested after approval may affect price and timing and may not be possible after production begins.

Electronic proofs and screen displays may not reproduce physical colors or materials exactly.

 

6. Production Variations

 

Customized products may have reasonable production variations in color, material, size, placement, registration, appearance, or quantity. Any applicable tolerance should be stated in the quotation, proof, product description, or order documents.

A variation is not considered a defect when the delivered product materially conforms to the approved proof and agreed specifications and remains within the disclosed or accepted production tolerance.

 

7. Payment

 

Payment requirements are stated in the applicable quotation, invoice, order acknowledgment, or approved credit agreement. Unless Pax Logo has approved written credit terms, required payment must be received before the applicable production or shipment stage.

The customer is responsible for authorized charges, applicable taxes, and agreed fees. Payment terms granted to one order or customer do not automatically apply to another order.

 

8. Cancellations, Returns, and Refunds

 

Cancellations, returns, defect claims, and refunds are governed by our Refund, Return, and Cancellation Policy and any transaction-specific written terms.

Customized, decorated, or specially sourced products generally cannot be returned because of a change of mind after approval and production has begun.

 

9. Shipping and Delivery

 

Production and delivery are governed by our Shipping Policy and transaction-specific written terms. A production-complete date, ship date, estimated delivery date, and requested in-hand date are separate milestones.

A requested in-hand date is not guaranteed unless Pax Logo expressly confirms it in writing. The customer is responsible for providing a complete and accurate delivery address and any special delivery requirements.

 

10. Acceptable Use

 

You may not misuse the website, interfere with its operation or security, attempt unauthorized access, submit unlawful or infringing content, introduce malicious code, use automated tools in violation of applicable law, or use the website to deceive others or violate third-party rights.

 

11. Third-Party Services and Links

 

The website may use or link to third-party services. Third-party services are governed by their own terms and privacy practices. Pax Logo is not responsible for third-party content or services outside our reasonable control.

 

12. Website Disclaimers

 

We work to keep website information accurate, but website content may contain errors or become outdated. To the extent permitted by law, the website is provided on an “as is” and “as available” basis.

Nothing in these Terms excludes a warranty, right, or remedy that cannot lawfully be excluded.

 

13. Limitation of Liability

 

To the extent permitted by law, Pax Logo will not be liable for indirect, incidental, special, exemplary, or consequential damages arising solely from use of the website.

Any limitation applicable to a product order must be determined by the applicable quotation, order documents, and governing law. Nothing in these Terms limits liability that cannot legally be limited.

 

14. Privacy

 

Our collection and use of personal information are described in our Privacy Policy. Cookie and data-sharing choices may also be available through the website’s Cookie Preferences and data-sharing opt-out tools.

 

15. Governing Law

 

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

 

16. Changes to These Terms

 

We may update these Terms by posting a revised version on this page and changing the effective date. The revised Terms apply prospectively unless applicable law requires otherwise.
